• Team members and collaboration features

Payment Terms

• Billing Cycle: Monthly or annual, as selected during subscription
• Payment Method: All payments processed securely via Stripe
• Automatic Renewal: Subscriptions renew automatically unless cancelled
• Price Changes: We reserve the right to modify pricing with 30 days notice
• Currency: All fees are in USD unless otherwise stated

Plan Changes

You may upgrade or downgrade your subscription at any time. Changes take effect immediately:

• Upgrades: Prorated charges apply for the remainder of the billing cycle
• Downgrades: Prorated credits applied to your next billing cycle
• Immediate Access: Upgraded features are available immediately upon payment

Usage Limits and Overages

Each subscription plan has specific usage limits. When approaching your limits:

• You will receive notifications when reaching 80% and 95% of limits
• Upon exceeding limits, you must upgrade or wait for the next billing cycle
• We reserve the right to suspend service if limits are significantly exceeded

Refund Policy

We offer a 30-day money-back guarantee for new subscriptions:

• Full refund available within 30 days of initial purchase

• Refunds processed within 5-10 business days
• No refunds for subsequent renewals or partial billing periods
• Free plans are not eligible for refunds

Cancellation

• No partial refunds for unused time in the billing period
• Access to paid features continues until the end of the billing period

• Team configurations and workflows

Content Ownership

You retain all ownership rights to Your Content. However, by using our Service, you grant us:

• A worldwide, non-exclusive, royalty-free license to use, store, and process Your Content
• Rights to display Your Content within the Service as necessary to provide functionality
• Permission to create derivative works for Service improvement and AI model training
• Rights to backup and archive Your Content for operational purposes

• Not reverse engineer or attempt to extract proprietary algorithms

API Changes

• Breaking changes announced at least 90 days in advance
• API versioning used to maintain backward compatibility
• Legacy API versions supported for a minimum of 12 months

Third-Party Integrations

Gnosari integrates with third-party services including:

AI Content Disclaimer

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Neomanex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill
• Our total liability for all claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 USD, whichever is greater
• We are not liable for service interruptions, data loss, security breaches beyond our control, or third-party actions

Indemnification

Force Majeure

2. Mediation: If informal resolution fails, participate in good-faith mediation before pursuing litigation
3. Arbitration: For disputes exceeding $10,000, binding arbitration may be required before litigation

Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions, class arbitrations, or representative proceedings, except where prohibited by law.

Time Limitation

Any claim related to these Terms or the Service must be filed within one (1) year of the event giving rise to the claim, or it will be permanently barred.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Survival

Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, limitations of liability, and dispute resolution.
